These Terms of Service ("Terms") govern your use of any services, websites, or software products ("Services") operated by Act Two Pty Ltd (ACN 674 342 486, ABN 56 674 342 486), a company registered in Victoria, Australia ("we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Services
Act Two Pty Ltd builds and operates a portfolio of software-as-a-service products. Each product may have its own supplemental terms which, together with these Terms, govern your use of that product. In the event of a conflict, the product-specific terms take precedence.
2. Accounts
You must provide accurate and complete information when registering for any of our Services. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access via the relevant product website.
3. Plans, Pricing & Billing
Pricing for each product is displayed on the relevant product website. Unless stated otherwise, all prices are in Australian Dollars (AUD) and are inclusive of GST where applicable. Paid subscriptions are billed monthly in advance via Stripe. By subscribing you authorise us to charge your nominated payment method on each renewal date.
4. Cancellation & Refunds
You may cancel any subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period and you retain access until then. We do not provide pro-rata refunds for partial months. Nothing in these Terms excludes or limits your rights under the Australian Consumer Law, including any statutory right to a refund for a major failure.
5. Your Content
You retain ownership of all content you submit to our Services. By submitting content you grant us a worldwide, royalty-free licence to host, display, and transmit it solely to operate the Services. You are responsible for ensuring your content does not infringe any third-party rights or applicable law.
6. Acceptable Use
You must not: (a) use our Services for unlawful purposes; (b) attempt to gain unauthorised access to our systems or data; (c) upload malware or harmful code; (d) harass, abuse, or impersonate others; or (e) use the Services to send unsolicited bulk communications.
7. Intellectual Property
All rights in our Services — including code, design, trademarks, and branding — remain with Act Two Pty Ltd. These Terms do not grant you any rights to our intellectual property beyond what is needed to use the Services.
8. Limitation of Liability
To the maximum extent permitted by law (including the Australian Consumer Law), our total aggregate liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits or data.
9. Disclaimer
Our Services are provided "as is" and "as available". Except where prohibited by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Termination
We may suspend or terminate your access if you breach these Terms. You may close your account at any time. On termination, your right to use the Services ceases immediately.
11. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
12. Changes
We may update these Terms from time to time. We will notify you of material changes by email or in-product notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
